STRATEGY AGREEMENT

 

Welcome to my life, business & brand strategy experience. This document constitutes an understanding and a contract between us (the “Agreement”) and you should read it carefully and ask any questions and/or concerns that you may have before you sign it.

 

Description of Services

 

The services to be provided by Classie Watson | MS Clinical Mental Health Counseling are for strategy and/or tele-strategy as designed jointly with you, the Client.

 

An initial assessment will be used to provide valuable information to guide and focus our life, business & brand strategy relationship. An assessment will provide new explanations for behaviors, discover new possibilities and generate a baseline of information about you, the Client and your business.

 

It is my aim in 1:1 strategy that you walk away feeling confident and prepared to get started on the next steps for your business or projects and that you have information and strategies to implement. That you experience increased growth and business as a result of our working together. I help you stay aligned with your goals and purpose, find easier ways of doing things and create a plan that is achievable, flexible and meaningful. In this experience, we take calculated and inspired steps together to work toward making your goals a reality with strategic planning & positioning.

 

Our Mission: 

At Classie Watson it is our mission to bridge the gap between mental health needs and building a business as CEO.  I've built  the Classie Watson Brand with two purposes in mind; to help de-stigmatize mental heath, increasing access to quality mental health care and to narrow the racial wealth gap for not only myself but for other CEO's of color by aiding in building a sustainable and profitable service based business and brand.

 

With over 8 years in strategic business development and therapeutic training, I become an integral member of your business team. You will learn ethical business practices and how to develop a mental health conscious business. You will learn how to structure a sustainable business model and strategy leveraging financial guidance and projections. You will learn how to efficiently structure your role as CEO understanding the fine print that many don't talk about. You will learn how to position your business branding and messaging to elevate your services to continue selling at premium price points using belief based marketing strategies. And you will learn how to design an award winning customer experience that creates loyalists and return customers. And of course there is more!

 

My company is built on the foundation of seeking wholeness, a passion for becoming a vessel of purpose, and a commitment to daily healing and being an extension of grace and compassion with a business that focuses on true connection. And this is my commitment to you and your purpose driven business.

Fees

 

Your coaching agreement includes the fee total listed on your quote and invoice attached in this document.

 

The investment in the Program is $26,400

You opted for a payment plan or paid in full. [payment arrangement]

This is including but not limited to, between- session phone calls or email exchanges, reviewing tapes of sessions, report-writing and reading or reviewing documents. Fees for strategy sessions must be paid promptly when joining the experience, unless otherwise agreed upon. If I am required to attend meetings outside of our scheduled meetings at my offices, you agree to pay for all time I spend traveling to the location of such meetings and the additional cost for an added session of $800. Fees for strategy sessions must be paid promptly on the day the session occurs, unless otherwise agreed upon.


 

The Payment Policy is as follows:

 

Client agrees to make payment in full or work within our automatic draft payment option. These payments will be automatically drafted from your account on the first of the month unless otherwise agreed upon. These arrangements are made in good faith, please keep us updated and communicate with us if anything changes and if adjustments need to be made. A payment is required each month. Additional options and provisions may be made available for payment with prior approval and on a case by case basis. Please contact us at support@classiewatson.com if you would like to discuss any additional payment options. 

 

Retainer payment for client services will be paid pro-rata in advance per month. Payments will be automatically drafted from your account and paid in advance for the following month no later than the 30th day of each month that this agreement is in force. Client will receive an invoice and receipt of payment for each month. 

 

Late or Missed Payments:

In the event a client fails to make any of the payments within a payment plan during the time prescribed, Arlene Ambrose Curated Health reserves the right to immediately disallow participation by client until payment is made in full, including disallowing access to modules, materials and coaching calls or sessions. In addition you will incur a $75 late fee on your second missed payment. For every additional day after your second missed payment, a 3% interest fee will be charged for each day that payment is late for a maximum of 30 days. If a client does not commence with payment after 30 days, Arlene Ambrose Curated Health has the right to terminate the agreement and send remaining balance to the claims department.

 

In Good Faith Payment

 

In the event that a client cannot pay due to a life emergency, they can continue the program, however clients must agree to a maximum payment amount (equal to the total scheduled payment amount each month ) and a minimum payment amount due (equal to 75% of your total scheduled monthly payment amount) unless otherwise agreed upon. These arrangements are made in good faith to aid in the support of the customer during times of financial hardship and any other act of God that may happen during the course of the program. And your remaining balance will be added to your final payment for your account. If you are unable to make the payment in full, you will have 30-60 additional days starting from the end of your services agreement to remit payment. In good faith arrangements are made on a case by case basis.

 

Refunds

 

Due to the nature of our services we do not provide refunds to ensure that clients are fully committed to the coach - client relationship. In the event of your absence or withdrawal, for any reason whatsoever, you will remain fully responsible for the entire Program fee and any unpaid balance.

 

If an unforeseen circumstance occurs that causes the client to terminate the agreement, we may decide to partially refund at their discretion. Refunds are assessed on a case by case basis.

 

Strategist does not offer refunds to ensure that clients are fully committed to the strategist - client relationship. If an unforeseen circumstance occurs that causes the client to terminate agreement, the strategist may decide to partially refund at her discretion.

INTELLECTUAL PROPERTY RIGHTS.

 

In respect of the documents specifically created for the Client as part of this Agreement, the Strategist maintains all of the copyright, other intellectual property rights and any other data or material used or subsisting in the Material whether finished or unfinished. Nothing in this Agreement shall transfer ownership of or rights to any intellectual property of the Strategist to the Client, nor grant any right or license other than those stated in this Agreement. All worksheets, assignments, videos, and any materials used are for the sole purpose of this coaching experience and are not to be used, transferred, or sold to any third parties. You are granted provisional access to all materials as a result of participating in the group coaching experience.

 

Cancellations

 

Your membership:

 

This is a binding agreement and contract. Your joining this Strategy experience, no matter your payment arrangement, you agree that you will continue through the experience for the entire term length that you have selected and you will pay in full through your payment arrangement. Otherwise, you may be subject to collections and any costs that may arise as a result.

 

Your membership cannot be transferred or shared. The materials in this program cannot be shared or sold to any third parties.

 

Differences between Strategy/Coaching and Psychotherapy

 

Coaching/strategy is different from psychotherapy — it neither is, nor purports to be, a substitute for psychotherapy.

 

In addition to being a strategist, I am working on licensure requirements and finalizing exams to become a licensed therapist in Arkansas, with training and experience in diagnosing and treating emotional problems. While there are some similarities between my strategy experience and psychotherapy, they are very different endeavors and it is important that you understand the differences between them. Psychotherapy is a healthcare service and is usually reimbursable through health insurance policies. This is not true for strategy/coaching. Both strategy/coaching and psychotherapy utilize knowledge of human behavior, motivation, behavioral change and interactive counseling techniques. The major differences are in the focus, goals and level of professional responsibility.


 

Focus & Goals

 

The focus of strategy is development and implementation of strategies to reach Client‐identified goals which will enhance performance and personal satisfaction. This strategy experience may address specific personal projects, life balance, job performance and satisfaction, or general conditions in the client's life, business, or profession. strategy utilizes personal strategic planning, values clarification, brainstorming, motivational counseling and other counseling techniques. Deciding how to handle these issues and incorporate coaching into those areas is exclusively your responsibility.

 

In order to achieve the focus & goals of the coaching relationship, client understands the following:

 

Rescheduling.

Strategy Session:

 

Client agrees to be 10-15 minutes early to all in-person and video chat strategy sessions. If client needs to cancel/reschedule their strategy session, client agrees to provide 24 hour advanced notice. Client agrees to value strategists time, efforts, and scheduling need and therefore understands that if notice is not provided as stated above there will be a $125 cancellation fee.

 

In the event that I am unable to meet for our live strategy calls for reasons beyond my control, such as illness, acts of god, or anything in between, I will make every effort to reschedule on a day that works best for our mutual schedules.

 

In the event that during your experience I have scheduled vacation leave, I will make every effort to schedule video chat calls for your session time for that week or make any necessary adjustments to rescheduling. Vacation leave will occur.

 

Late Arrival. The strategy sessions shall begin promptly at the agreed upon start time. The Strategist shall wait for a grace period up to 15 minutes past the start time. Should the Client arrive within grace period of 15 minutes the session shall occur but shall receive only the remaining time left in the session. No proration of monies shall occur. After 15 minutes strategist reserves the right to cancel session and client may forfeit that scheduled session.

 

Strategy Includes for clients:

  • 12 Months focused on The PCB Method (Person-Centered Business Method), this is our comprehensive training that helps you center your needs as CEO and the needs of your clients from organization of your business, boundary setting (Mental & Emotional Wellness), policy creation (SOP's) and structuring, refining, and positioning of your services while streamlining your curriculum to ensure your clients achieve the results you deliver and have an award winning customer experience throughout the entire process of working with you. This is designed as a 12 month experience, giving my team and I time to enhance your business, launch your service offers and track your metrics so that we make data driven decisions to both maximize and optimize your experience and opportunities for growth.

  • A hybrid program with private face to face strategy sessions this includes weekly work study hours and online materials for completion along with high level bi-weekly 1:1 private strategy sessions lasting for 90 minutes. We will discuss strategy, overcome challenges and you'll receive support and guidance to know what to do, how to do it, fixing any issues with your service offers, structure, client experience, mindset or mental wellness needs as we develop your discerned & decisive decision making abilities as a CEO.

  • Aligned Launch and Data Analysis Once you have completed your aligned service launch using our signature process, you will track and benchmark your data and submit for review. Our strategy team will review your metrics, KPI's, evaluate your service positioning, messaging and analyze your sales page for optimization. You will receive an in depth analysis with guidance and a plan of action on what your next steps need to be to enhance your service, business and brand.

Description of monthly retainer client experience

Client understands that strategy sessions, calls and email correspondence are for the contracted client only, CEO or president of company/organization [person whose signature appears below]. 

 

Performance of services for monthly retainer clients: The manner in which the Services are to be performed and the specific hours to be worked by strategist shall be determined by strategist. Client will rely on strategist to work as many hours as may be reasonably necessary to fulfill strategist's obligations under this Agreement.


 

Hours of operation for monthly retainer client experience

Client understands that as a monthly retainer client, client is able to contact strategist during the hours of 9:00am-4:00pm. All calls, emails or text messages will be responded to within 24 hours if not answered immediately. Responses may be received by strategist or strategist's assistant for scheduling purposes or receipt acknowledgment. 

 

The Strategist/ Client Relationship

 

The relationship between the strategist and client is specifically designed to guide and lead the client to their desired result. The client sets the agenda and the success of the enterprise depends on the client's willingness to take risks and try new approaches. The relationship is designed to be direct and challenging. You can count on your strategist to be honest and straightforward, asking powerful questions and using challenging techniques to move you forward. You are expected to evaluate progress and, when strategy is not working as you wish, you should immediately inform me so we can both take steps to correct the problem.

 

It is very important to understand that the strategy - client relationship is a professional relationship. While it may often feel like a close personal relationship, it is not one that can extend beyond professional boundaries both during and after our work together. Considerable experience shows that when boundaries blur, the hard‐won benefits gained from the Strategist- client relationship are endangered.

 

Professional Advice

 

Strategy is not to be used in lieu of licensed professional advice. You agree to seek professional guidance for legal, medical, financial, business, spiritual, psychological or other matters as needed. You understand that all decisions in these areas are your sole responsibility.

 

If either of us recognizes that you have a problem that would benefit from psychotherapeutic intervention, I will refer you to appropriate resources. In some situations, I may insist that you initiate psychotherapy and that I have access to your psychotherapist as a condition of my continuing as your strategist.

 

DISCLOSURE & CONFLICTS.

Strategist is required to disclose any outside activities or interests that conflict or may conflict with the best interests of Client. Prompt disclosure is required under this paragraph if the activity or interest is related, directly or indirectly, to other consulting relationships that may conflict with this Agreement.

 

Client is aware that effective as of the date of this agreement, and continuing in effect throughout some or all of the duration of the relationship this agreement creates, Strategist has similar Engagement/Retainer agreements with other individuals, partnerships, corporations and other institutions (collectively, “Other Clients”). Strategist will make every good-faith effort to ensure no conflict occurs or arises under this agreement with any Other Client both during the duration of this agreement and for a reasonable time thereafter; unless this agreement is breached by Client.

 

Waiver/ Client Understanding

 

I acknowledge and agree that in the course of the strategy services, I may be asked questions that are personal, challenging, or disturbing. I also acknowledge and agree that I am fully responsible for my physical, mental and emotional well‐being, and for any actions, choices and decisions made as a result of the coaching. I waive and release any claims arising or results from my questions, suggestions and advice (or lack thereof) and from actions, choices and decisions I may make.

 

I acknowledge and understand that my results using the strategy Experience may vary. My results will be based on many variables, such as my level of effort, personal qualities, knowledge, skills, willingness to change, and a host of other factors. Since these factors differ for everyone, I know that you “the strategist” cannot guarantee my success, results, or income level, nor are you responsible for my success or failure. The strategy experience takes lots of time, effort, determination and dedication. I believe that the coach provides great resources and tools to help me achieve my desired results.

 

I understand that information will be held as confidential unless you state otherwise, in writing, except as required by law.

 

I understand that certain topics may be anonymously and hypothetically shared with other strategy for training or consultation purposes.

 

I understand that “life & Business strategy ” is a relationship I have with my strategist that is designed to facilitate the creation/development of personal, professional, and/or business goals and to develop and carry out a strategy/plan for achieving those goals.

 

I understand that life & business strategy  is a comprehensive process that may involve all areas of my life, including work, finances, health, relationships, educations and recreation. I acknowledge that deciding how to handle these issues and implement my choices is exclusively my responsibility.

 

I understand that life & business strategy does not treat mental disorders as described by the American Psychiatric Association. I understand that life/wellness coaching is not a substitute for counseling, psychotherapy, psychoanalysis, mental health care or substance abuse treatment, and I will not use it in place of any form of therapy.

 

I promise that if I am currently in therapy or otherwise under the care of a mental health professional, that I have consulted with this person regarding the advisability of working with a life & business strategy and that this person is aware my decision to proceed with the life coaching relationship.

 

I understand that life & business strategy is not to be used in lieu of professional advice. I will seek professional guidance for legal, medical, financial, business, spiritual, or other matters. I understand that all decisions in these areas are exclusively mine, and I acknowledge that my decisions and my actions regarding them are my responsibility.

 

I agree to attend all scheduled sessions to the best of my ability.

 

I agree to be honest and forthright.

 

I agree to follow the strategy guidelines as outlined.

 

I agree to complete assignments on time and to the best of my ability.

 

I agree to participate fully within the strategy experience.

 

Confidentiality and Non-Disclosure. I “The Client” understand that all materials, including but not limited to, price lists, contracts, financial documents, agreements, and other information or documents that are given to me in the course of the strategy services are the exclusive property of the strategists and are privileged and confidential information. I shall not disclose, whether or not, the confidential information obtained from the strategist to anyone unless required to do so by law. Furthermore, I am aware that the strategist understands that all materials shared by Client including but not limited to price lists, client identities, documents, financials, etc that are given to the strategist during this time shall remain confidential and secured.

 

I “The Client” shall not compete as a Coach/strategist/entrepreneur/or in anyway using the materials, trainings, methodology, or any teachings in this strategy program. This includes, but is not limited to, in-person, online, forum-based as well as digital products, whether for compensation or not. Client understands that this is subject to copyright and patent law for the materials and signature trainings used in this program.

 

I agree to not share, disclose, distribute, or sell any content included in this experience such as, workbooks, video trainings, worksheets, etc… I understand that in doing so that is a breach of this contract and is punishable by law.

 

Strategy Sessions

 

1.Video sessions are held online via Zoom or in person at my office

 

2. Strategy sessions are on a frequently scheduled for 6/12 mo clients.  For retainer clients sessions are on an as needed basis . 

 

3.The Client shall not capture the strategy session in any capacity, including but not limited to voice recording, tape recording, photography, etc.

 

4 .Sessions are recorded. You will have access to it for the length of the program upon request.

 

5.Recording of sessions both audio and or visual during video calls is compulsory, for my review.

 

6.Snippets or excerpts or the recording in its entirety may be used for promotional reasons on platforms, social media and my website. I may also use recordings for professional development, shared with my own mentors, supervisors, and legal advisers.

 

7.If sharing with others I will remove or alter any identifying personal details to preserve your identity if required. I am very conscious of your IP, and will take all reasonable efforts to maintain confidentiality and discretion, except in group sessions, where you acknowledge and agree that other members of the group who were not in attendance have a right to watch the full recording.

 

Termination of Agreement

 

If either party wishes to end this strategy arrangement, he or she will notify the other party either by email 30 days in advance for 6 or 12 month clients. Monthly retainer clients must submit their termination via email within 7 days of their next scheduled retainer payment on the 30th of each 1 month. All unpaid strategy services fees and balances left on your account shall be remitted and paid to the strategist within 7 days of contract termination or be subject to legal action.

 

You agree to participate in a final session to discuss and assess coaching issues such as commitment and follow‐through, progress toward goals and goal accomplishment, the strategy process, etc. If you choose to terminate this agreement you will still be responsible for any remaining payments and invoices left on your account. If you wish, a six‐month or one‐year follow‐up assessment can be discussed.

 

Dispute Resolution

 

Client shall first approach strategist as to any issues related to the strategy services. Failure to do so will result in termination of the strategy services and forfeiture of all strategy services fees. All unpaid strategy services fees shall be remitted to the strategist within 7 days of contract termination or be subject to legal action.

 

This Agreement shall, in all respects, be governed by the laws of the State of Arkansas. Any controversy or claim arising out of, or relating to this Agreement, or the breach of this Agreement, shall be settled by binding arbitration, which will occur via telephone by an arbitrator that we mutually agree upon. The costs of the arbitration shall be shared equally between the parties.

 

Limitation of Damages

 

You understand that I make no guarantees or warranties, expressed or implied, about any results to be achieved. If I am found liable for any loss or damage under this Agreement (except for fraud), liability shall be limited to the lesser of the total payments made under this contract. All payments are liquidated damages to Classie Watson.

 

This Agreement constitutes the entire understanding and agreement of the Client and strategist and no amendment, change or modification of this Agreement shall be valid, unless in writing and signed by the parties hereto.

 

By signing below, I acknowledge that I have had the opportunity to review this Agreement, that I understand all aspects of it and I agree to abide by it.
